Dugan P. Kelley co-founded Kelley Clarke, PC, aiming to provide big firm expertise locally. The firm, with offices in Prosper, Texas, and Santa Barbara, California, operates nationally and specializes in securities and real estate. Mr. Kelley, who chairs the firm’s related practice groups, has facilitated real estate transactions over $2 billion. His experience spans 20 years in trial and litigation, including a tenure at Cappello & Noel and defending healthcare professionals at Bonne, Bridges, Mueller, O’Keefe & Nichols. Additionally, he served as an adjunct law professor and has been recognized as a “Super Lawyer Rising Star.” Mr. Kelley is also a best-selling author and active in non-profit work, including efforts against human trafficking. He lives with his wife, Michelle, and their three sons, participating actively in their church and community.

Matthew Clarke is the chair of Kelley | Clarke’s litigation department. He is licensed to practice in California, Texas, and New York. During his 30 years of practice, Mr. Clarke has obtained more than $190 million in verdicts and settlements as well as helping the firm structure transactions involving real estate valued at more than $2 billion dollars. Mr. Clarke actively tries cases for both defendants as well as plaintiffs in State Courts, Federal Courts, Arbitrators, FINRA, and other regulatory agencies throughout the country. Previously, he was a partner at Cappello & Noel in Santa Barbara, California, specializing in lender liability. Notably, Mr. Clarke’s longest trial involved an 11-month construction defect case with a substantial multi-million dollar judgment. He has also achieved significant verdicts in cases involving private equity, wrongful death, and other serious matters. A recognized “Super Lawyer Rising Star” in 2009 and 2010, Mr. Clarke is known for his proactive risk management and effective problem-solving. Active in his community and the Santa Barbara County Bar Association, he contributes to legal discussions and publications. Mr. Clarke, his wife Sofia, and their three sons are deeply involved in their local church and various non-profits.

Asher is Chair of the Firm’s Securities Department, advising sponsors, issuers, and investors on the structuring and execution of a broad range of offerings and financial instruments. As securities counsel to various private equity firms, investment funds, family offices, syndications, startups, and digital asset/crypto projects, he has led the formation of hundreds of offerings and investment vehicles with aggregate proceeds cumulatively in the billions of dollars. He brings a cross-border perspective to transactions and structuring, including offshore vehicles and international investment structures, shaped by years of living and doing business in Asia and Europe. Accordingly, his international experience brings a culturally informed approach not only to cross-border matters, but also to the relationships and people involved.
Licensed in seven states, Asher is a published author and multilingual (Mandarin, Malay, Serbian, and now learning Hungarian). He has travelled to 58 countries across five continents and counting. He earned American Jurisprudence awards in Statutory Interpretation and International Business Transactions and graduated among the youngest in his class at the University of Oklahoma College of Law. Outside the office, Asher is an amateur triathlete and serves as Managing Principal of Hyper-Alpha Capital, a crypto hedge fund.
