Rachel Soeth

Rachel Soeth is an attorney at Kelley Clarke who focuses her practice on complex real estate transactions. She advises clients on the structuring and execution of sophisticated deals, including matters involving title and other property-level issues, tenants-in-common (TIC) structures, preferred equity investments, loan assumptions, supplemental and mezzanine financing, loan modifications, and other complex transaction structures. She works with clients on both the buyer and seller sides to identify potential risks, resolve issues that arise during the transaction process, and help guide deals to a successful closing.

Rachel brings a unique perspective to transactional work, informed by more than a decade of legal experience that includes significant courtroom advocacy and litigation practice. Before transitioning fully into transactional work, she spent nine years as a prosecutor with the Collin County District Attorney’s Office, where she tried approximately 60 jury trials and handled a wide range of serious misdemeanor and felony criminal matters. In that role, she developed substantial experience drafting motions, responses, and other complex legal filings while managing high-stakes cases through every stage of litigation. This background gives her a practical, solutions-oriented approach to evaluating legal risk and addressing issues that arise during complex transactions.

Earlier in her career, Rachel worked on a large antitrust litigation matter for a Fortune 500 company, gaining experience in complex commercial litigation. After leaving the District Attorney’s Office, she entered private practice representing clients in criminal defense and other litigation matters before joining Kelley Clarke in 2022.

At Kelley Clarke, Rachel initially handled a range of litigation matters before focusing her practice in the firm’s real estate group. Today, she leverages her litigation background to help clients navigate complicated deal structures, anticipate potential challenges, and protect their interests throughout the transaction process.

Outside the office, Rachel enjoys playing piano and violin, experimenting with new recipes in the kitchen, and reading mystery novels. She especially enjoys spending time with her husband, their children, and the family dog, Scooter (also known as “Scoots”).
